Terms of Service

These Terms of Service ("Terms") govern your access to and use of Wirely (the "Service"), operated by Ivan Pryntsev / pryntsevco ("we," "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Wirely is a software tool that helps you plan, specify, and prepare web applications before writing code. We do not host the apps you build with Wirely; deployment to third-party providers is your responsibility.

2. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity that occurs under your account.

3. Subscription & Billing

  • Wirely is offered on a recurring monthly subscription of $29 USD per month, billed in advance via Stripe.
  • Your subscription renews automatically at the end of each billing period until you cancel.
  • You may cancel at any time from your account; cancellation takes effect at the end of the current billing period.
  • Prices may change with at least 30 days' notice via email or in-product notification.

4. Refunds

Subscription fees are non-refundable except where required by law. If you believe you were billed in error, contact ivan@pryntsev.co within 14 days of the charge and we will review your request in good faith.

5. Acceptable Use

You agree not to:

  • Reverse engineer, scrape, or attempt to extract the source code or prompts of the Service.
  • Resell, sublicense, or provide the Service to third parties.
  • Use the Service to generate content that is illegal, harmful, or violates the rights of others.
  • Bypass or interfere with rate limits, authentication, or other technical safeguards.

6. Intellectual Property

Wirely, including its source code, design, prompts, and documentation, is the proprietary property of Ivan Pryntsev. You retain ownership of the application specifications, schemas, and code that you author or generate using the Service. You grant us a limited license to process your content as necessary to operate the Service.

7. Third-Party Services

The Service relies on third-party providers (including Stripe for payments, Supabase for authentication and data storage, Vercel for hosting, and Anthropic / OpenAI for AI inference). Your use of those providers is subject to their own terms. We are not responsible for the availability, accuracy, or content of third-party services.

8. AI Outputs & No Warranty

Wirely uses large language models that can produce incomplete, inaccurate, or unsafe output. You are solely responsible for reviewing, testing, and validating any specifications or code produced via the Service before using them in production.

THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

We may suspend or terminate your access to the Service if you breach these Terms or use the Service in a way that could harm us, other users, or third parties. Upon termination, your right to use the Service ends immediately.

11. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Orange County, California.
